Licensing Policy

1. Purpose

The purpose of this Licensing Policy is to establish guidelines for the licensing of intellectual property (IP) created by Unique Endeavor in Business & Social Sciences (UEB&SS). This policy aims to promote the dissemination of UEB&SS knowledge and expertise while protecting the organization's interests and ensuring responsible use of its IP.

2. Scope

This policy applies to all IP created by UEB&SS, including, but not limited to, copyrighted works, trademarks, and patents.

3. Definitions

For the purposes of this policy, the following definitions apply:

  • Intellectual property (IP): The creations of the human mind, including inventions, literary and artistic works, symbols, names, images and designs, protected by law.
  • License: A permission granted by the owner of IP to another party to use that IP in a specified manner.
  • Licensee: The party to whom a license is granted.
  • Licensor: The party that grants a license.

4. Licensing Types

UEB&SS offers various types of licenses, including:

  • Commercial licenses: These licenses are granted for commercial use of UEB&SS IP, such as in the development and sale of products or services.
  • Non-commercial licenses: These licenses are granted for non-commercial use of UEB&SS IP, such as for educational or research purposes.
  • Open-source licenses: These licenses grant broad rights to use, modify, and distribute UEB&SS IP, typically under the condition that any derivative works are also made available under an open-source license.

5. Licensing Process

The licensing process typically involves the following steps:

  1. Expression of interest: A potential licensee submits an expression of interest to UEB&SS, outlining the proposed use of the IP.
  2. Due diligence: UEB&SS conducts due diligence on the potential licensee to ensure that they are a reputable organization and that the proposed use of the IP is consistent with UEB&SS's mission and values.
  3. Negotiation: UEB&SS and the potential licensee negotiate the terms of the license, including the scope of use, royalties, and duration.
  4. Execution: The license agreement is executed by both parties.

6. License Fees

UEB&SS may charge license fees for the use of its IP. The amount of the fee will depend on factors such as the type of license, the scope of use, and the commercial potential of the IP.

7. Reporting and Compliance

Licensees are required to submit regular reports to UEB&SS detailing their use of the IP. UEB&SS may also conduct audits to ensure that licensees are complying with the terms of their licenses.

8. Enforcement

UEB&SS will take appropriate action to enforce its IP rights, including seeking legal remedies against any party that infringes its IP.
